These Terms of Service ("Terms") govern your access to and use of the Pryvii platform, including our website, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 16 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Pryvii provides an AI-powered privacy compliance scanning platform that analyzes websites for compliance with privacy regulations including the GDPR, CCPA, and PIPEDA. The Service generates compliance reports, scores, and recommendations. Compliance reports are provided for informational purposes only and do not constitute legal advice.
3. Accounts and Registration
You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You must notify us immediately of any unauthorized use of your account.
4. Subscriptions and Payment
The Service offers free and paid subscription plans. Paid plans are billed on a monthly basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Refunds are handled on a case-by-case basis at our discretion. We reserve the right to change our pricing with 30 days' notice.
5. Acceptable Use
You agree not to use the Service to: • Violate any applicable law or regulation. • Scan websites you do not own or have authorization to scan. • Attempt to gain unauthorized access to our systems or other users' accounts. • Interfere with or disrupt the integrity or performance of the Service. • Upload or transmit malicious code, viruses, or harmful content. • Use the Service for competitive intelligence or to build a competing product. • Exceed the usage limits of your subscription plan through automated means. We reserve the right to suspend or terminate accounts that violate these restrictions.
6. Intellectual Property
The Service, including its design, code, algorithms, content, and trademarks, is owned by Pryvii and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our prior written consent.
7. User Content and Scan Data
You retain ownership of the data you submit to the Service, including URLs and website content submitted for scanning. By using the Service, you grant us a limited license to process this data solely for the purpose of providing the Service. Compliance reports generated by the Service are provided for your use under your subscription plan. We do not claim ownership of your scan results.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Compliance reports are generated using AI and are not a substitute for professional legal advice. We do not guarantee the accuracy, completeness, or legal sufficiency of any compliance report.
9. Limitation of Liability
To the maximum extent permitted by law, Pryvii and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Pryvii and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to the Service, other users, or third parties. You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration institution. Nothing in these Terms limits your rights under mandatory consumer protection laws in your jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. If we make significant changes, we will also notify you by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
